Club Bylaws

ARTICLE I: Name
The name of the organization shall be the WISCONSIN NUDE MEN or WNM (changed 11/17/2007 from Wisconsin Bares).
ARTICLE II: Purpose
The purpose of WNM shall be to provide an outlet for social and recreational nudism among men of like mind.
ARTICLE III: Membership
Section 1: Any male, age 21 or older shall be eligible for membership in WNM upon completion of the application form, approval by the Membership committee and payment, in advance, of dues according to the schedule set forth in Section 3 of this article.
Section 2: Applicants shall be approved or disapproved by the Executive Committee. Written reasons for disapproval shall be given to the Membership Coordinator who shall promptly notify the applicant. Applicants whose applications are disapproved may file a written appeal to the President within fifteen (15) days of notification of disapproval. Within thirty (30) days of the appeal date, the President, in consultation with the other board members, shall sustain or overturn the disapproval action, stating his reasons in writing and shall forward the applicant's appeal, along with his ruling, to the Membership Coordinator. The Membership Coordinator shall promptly notify the applicant of the President's ruling.
Section 3: Membership/annual dues shall be thirty dollars ($30) per member. The board may, at its discretion, choose to waive annual/renewal fees for existing members in good standing for an upcoming year.
Section 4: The Membership Chairperson shall notify members as of December 1 that membership dues for the following year are due and payable by December 31 of the current year. As of January 31, the treasurer shall notify any member whose dues are in arrears, of their late and overdue status. Members shall be considered inactive until dues are paid in full.
Section 5: Dues must be paid in order to become a full member. A person may request one-year trial membership, and attend two events as a trial member. Thereafter, they must become a full member before they will be invited to attend any events.
Section 6: A member may request to be withdrawn as a member of WNM at any time by written request to the Membership Coordinator. There will be no refund of dues paid.
Section 7: There shall be no discrimination in membership on the basis of race, color, creed, national origin, age, handicap, sexual orientation, marital status or physical appearance.
ARTICLE IV: Officers
Section 1: The officers of WNM shall be President, Vice-President, Secretary, Treasurer, Membership Coordinator, and Event Coordinator. These officers, along with other elected Members-at-Large, shall constitute the Executive Committee, also known as "The Board of Directors" or, simply, "The Board".
Section 2: The President of WNM shall preside over the annual, regular and all special meetings and shall have overall responsibility of administering the affairs of WNM. The Vice-President shall perform duties as requested by the President and shall become President in the event of a vacancy in the office between elections. The Treasurer shall handle all finances of WNM and maintain accurate records that deal with financial matters. The Secretary, Membership Coordinator, and Event Coordinator shall maintain all other records of the group. The Event Coordinator shall manage event invitations and related event duties. Officers and Members-at-Large may be asked to help with event check-in if available and needed.
Section 3: The officers shall be elected by ballot at the annual meeting to serve a term of one year or until their successor is elected. Candidates unopposed for office shall be deemed elected without balloting. Officers' terms of office shall begin with the beginning of the new year.
Section 4: No person shall hold office if he is not a member in good standing.
Section 5: Vacancies in the offices of Vice-President, Secretary, Treasurer, Membership Coordinator, or Event Coordinator shall be filled by appointment of the President. Persons so appointed shall serve until the next election of officers.
ARTICLE V: Standing and Special Committees
Section1: The President shall have the authority to form any special committees that he deems necessary to the operation of WNM.
ARTICLE VI: Meetings
Section 1: The annual meeting of WNM shall be held in November of each year for the purpose of nominating and electing officers, receiving annual reports and conducting any other business that may arise. Notice of Annual Meetings shall be given at least thirty (30) days in advance.
Section 2: A special meeting shall be held upon the call of the President or the written request of twenty (20) percent of the membership and delivered to the Secretary. Notice of a special meeting shall be given at least thirty (30) days in advance.
Section 3: A quorum shall consist of those members present at the annual meeting.
Section 4: All meetings and events of WNM shall be held under set hours and will be operated under these bylaws and the Policies & Rules of Etiquette as approved by the Executive Committee.
Section 5: No one may schedule a meeting or event under the name of WNM without prior approval of the Executive Committee.
Section 6: Meeting notifications shall be sent to each member by U.S. or electronic mail, at the members' last known addresses.
ARTICLE VII: Conduct of Membership
Section 1: CONFIDENTIALITY: No member shall discuss the names and/or identification of any member with those outside of the organization. No member or committee shall release information about the organization to any news media without prior permission from the Executive Committee.
Section 2: DRUGS, ALCOHOL AND SMOKING: No illegal drugs will be tolerated at any meeting or event involving WNM. The use of alcohol, to the point that a member becomes obnoxious or detrimental to WNM, will not be tolerated. Smoking at any meeting or event is at the discretion of the host or prevailing state and local laws.
Section 3: Violation of Article VII and/or the list Policies & Rules of Etiquette shall be covered under Article VIII.
ARTICLE VIII: Suspension and Revocation of Membership
Section 1: Subject to the provisions of this article, the Executive Committee may suspend or revoke the membership of any member for good cause. “Good Cause” may include (but is not limited to) the violation of the bylaws and/or the list of Policies & Rules of Etiquette or other conduct harmful to the interests of WNM and its members, Acts of physical violence or the destruction or theft of personal property of any member or host shall be grounds for immediate revocation of membership.
Section 2: A member, whose membership is being suspended or revoked, must be notified, in writing by the President. The notice must state the specific reasons for suspension or revocation and must be signed by the President. The notice shall also inform the member of his right to file an appeal with the Executive Committee.
Section 3: A member who has received notice from the President that his membership is being suspended or revoked may file a written appeal to the Executive Committee within fifteen (15) days after the date of the notice. Within thirty (30) days after the appeal date, the Executive Committee will sustain or overturn the suspension or revocation and state its reasons in writing. The statement shall be filed with the Membership Coordinator who will promptly notify the member of the results of the ruling. The ruling of the Executive Committee shall be final.
Section 4: Until the Executive Committee has ruled on any appeal, a member whose membership has been suspended or revoked shall not be eligible to attend any meetings or events involving WNM.
Section 5: A member, who has had his membership revoked, shall not be entitled to a refund of dues or any other monies paid to the organization. A member, who has had his membership suspended, is not entitled to a refund of dues but may receive a refund of other monies paid to the organization by ruling of the Executive Committee.
ARTICLE IX: Parliamentary Authority
The rules contained in the current edition of ROBERTS RULES OF ORDER shall govern WNM in all cases where they are not inconsistent with these bylaws and the list of Policies & Rules of Etiquette or any special rules of order WNM may adopt.
ARTICLE X: Amendments
The bylaws and the Policies & Rules of Etiquette may be amended at any regular, annual or special meeting of WNM by a two-thirds vote of members present and voting, provided that previous notice of the amendment(s) was given to all members at least thirty (30) days in advance.
The original bylaws were adopted by a two-thirds vote of those members present and voting at an annual meeting held on January 1,1993.
